| dc.description | As the persons responsible for the management and representation of capital companies, the directors are subject to a strict liability regime for the damages they cause in the exercise of their functions. Spanish corporate regulations establish exceptionally the cases in which they can be exonerated from liability. However, we find that in no way can they be exonerated if the damage caused is the result of the execution of acts that were adopted, authorized or ratified by the general meeting, when the latter intervenes exceptionally in the management of the company. In the latter case, the need or relevance of the establishment of joint and several liability between the director who executes a harmful act and those shareholders who, duly informed, voted in favor of adopting, authorizing or ratifying it, should be analyzed. | es_ES |
| dc.description.abstract | Como responsables de la gestión y representación de las sociedades de capital, los administradores están sometidos a un estricto régimen de responsabilidad por los daños que causen en el ejercicio de sus funciones. La regulación española en materia societaria establece de forma excepcional los casos en los que pueden ser exonerados de responsabilidad. Sin embargo, encontramos que de ninguna forma pueden ser exonerados si el daño causado es producto de la ejecución de actos que fueron adoptados, autorizados o ratificados por la junta general, cuando esta interviene excepcionalmente en la gestión social. Cabe analizar en este último caso la necesidad o pertinencia de establecer un sistema de responsabilidad solidaria entre el administrador que ejecuta un acto lesivo y aquellos socios que, debidamente informados, votaron a favor para adoptarlo, autorizarlo o ratificarlo. | es_ES |
