Resumen:
La reforma operada por la Ley Orgánica 5/2010 (en adelante, LO), de 22 de
junio, ha derogado el principio latino societas delinquere non potest, según el cual
las personas jurídicas no podían ser sujetas al derecho penal y eran sus
administradores que respondían de los delitos cometidos por éllas. Esta reforma,
inspirada también por los cambios ocurridos en otros países, ha determinado un
enorme cambio de paradigma en el sistema penal español, introduciendo por
primera vez la responsabilidad penal de las personas jurídicas.
El presente estudio tiene el objetivo de analizar los motivos que han
determinado la instauración del nuevo modelo y sus elementos característicos, a la
luz también de las modificaciones introducidas por la LO 1/2015, de 30 de marzo.
Para concluir, se realizará una breve comparación entre el modelo español y el
italiano en tema de responsabilidad penal de las personas jurídicas.

The penal law reform implanted by the LO 5/2010, of June 22nd, has derogated
the societas delinquere non potest principle according to which legal persons could
not be held criminally liable and only their managers could be criminally responsible
for the criminal offenses committed on behalf of the company. This reform, inspired
by the changes occured in other countries as well, has marked an enormous
paradigm shift in the Spanish criminal system by introducing criminal liability for legal
entities for the first time in the Spanish history.
The present research aims to address the reasons that have determined the
implanting of the new model and its key elements, in the light of the changes brought
by the LO 1/2015, of March 30th, as well. To finalize the work, it will be done a brief
comparison regarding the models of criminal liability of legal entities chosen by the
Spanish and the Italian legal systems.
