La figura del administrador de hecho es una realidad constante e inevitable en el ámbito de las sociedades mercantiles. Actualmente, la equiparación legislativa entre el administrador de hecho y el administrador de derecho es absoluta en relación al nivel de responsabilidad exigible a uno y a otro. La característica principal del administrador de hecho, que ya ha sido definido a nivel normativo, es la irregularidad formal de su cargo, bien en su nombramiento, bien en su vigencia. Y la causa de dicha carencia o ausencia formal es irrelevante, pues lo más determinante es que desempeñe la auténtica gestión de la sociedad de forma autónoma y habitual. La fenomenología de esta figura es muy diversa y su identificación depende de la manera en que se manifiesta en el tráfico jurídico, lo que también afectará a la dificultad probatoria de su existencia.

The “de facto” administrator´s figure is a constant and inevitable reality in the scope of mercantile sections. At present, the legislative equalization between the administrator of “de facto” is absolute in relation to the level of responsibility required of one and the other. The principal characteristic of the “de facto” administrator, which has already been defined at the normative level, is the formal irregularity of his position, either in his appointment or well in its term. And to the cause of such lack or formal absence is irrelevant, because the most determinant is that it performs the authentic management of society in an autonomous and habitual way. The phenomenology of this figure is very diverse and its identification depends on the way in which it manifests itself in legal traffic, which also affects the probatory difficulty of its evidence.
